PRUVIO

These Terms of Service ("Terms") govern your access to and use of the Pruvio mobile application and web platform ("Service") operated by Dynamic Trading Ventures LLC ("Company," "we," "our," or "us"), a Maryland limited liability company.

1. Eligibility and Account Registration

You must be at least 18 years of age to use Pruvio. By creating an account, you represent and warrant that:

• You are at least 18 years of age
• You have the legal authority to enter into these Terms
• All information you provide is accurate and current
• You will maintain the accuracy of your account information
• You are responsible for maintaining the confidentiality of your account credentials
• You are responsible for all activity that occurs under your account

You must notify us immediately at support@pruvio.io if you suspect unauthorized access to your account.

2. Description of Service

Pruvio is a business platform that provides professional documentation tools, AI-powered features, invoicing, legal document generation, client portals, team management, and related services for professionals across multiple industries. The Service includes:

• Photo documentation with timestamps and GPS tagging
• PDF report generation and client sharing portals
• AI-powered legal document generation
• Business tools including invoicing, estimates, and contracts
• Resident portals for property management
• Team management with role-based access
• AI assistant and automation features

3. Subscription Plans and Payment

3.1 Subscription Tiers

Pruvio offers the following subscription plans:

• Free: Limited access at no cost
• Pro: $49 per month or $429 per year
• Team: $119 per month or $999 per year
• Business: $199 per month or $1,699 per year
• Enterprise: $499 per month or $4,199 per year

Prices are subject to change with notice to subscribers. Current subscribers will be notified at least 30 days before any price increase takes effect.

3.2 Billing and Renewal

Subscriptions are billed in advance on a monthly or annual basis. Your subscription automatically renews at the end of each billing period unless you cancel before the renewal date. You authorize us to charge the applicable subscription fee to your payment method on file.

3.3 Free Trials

Pro, Team, and Business plans include a 3-day free trial for new subscribers. You will not be charged until the trial period ends. You may cancel at any time during the trial period at no cost.

3.4 Cancellation and Refunds

You may cancel your subscription at any time through the app Settings under Subscription or through the Apple App Store or Google Play Store subscription management. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial billing periods except where required by applicable law.

3.5 Payment Processing

Payments are processed through Apple App Store, Google Play Store, or Stripe. We do not store your payment card information directly. Applicable taxes may be added to your subscription fee based on your location.

4. Acceptable Use

You agree to use Pruvio only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Use the Service to document, create, or distribute illegal content
• Upload photos or content that you do not have the right to use
• Use AI features to generate false, misleading, or fraudulent documents
• Attempt to manipulate, alter, or tamper with photos after upload to deceive others
• Use the Service to harass, intimidate, or harm any individual
• Violate any applicable federal, state, or local laws or regulations
• Attempt to reverse engineer, decompile, or extract source code from the Service
• Use automated tools to scrape, crawl, or extract data from the Service without authorization
• Share your account credentials with unauthorized third parties
• Use the Service in any way that could damage, disable, or impair the Service
• Attempt to gain unauthorized access to other users' accounts or data

5. AI Features and Generated Content

5.1 AI Disclaimer

Pruvio uses artificial intelligence to generate documents, reports, notes, and other content. AI-generated content is provided for convenience and informational purposes only. You acknowledge that:

• AI-generated legal documents are not legal advice and should be reviewed by a qualified attorney before use in legal proceedings
• AI-generated content may contain errors, inaccuracies, or omissions
• You are solely responsible for reviewing and verifying all AI-generated content before using it
• We make no warranties regarding the accuracy, completeness, or fitness for purpose of AI-generated content

5.2 AI Consent

AI features are optional and require your consent during onboarding. You may disable individual AI features at any time through Settings. Core documentation features function without AI.

6. Your Content

6.1 Ownership

You retain ownership of all photos, documents, data, and other content you upload or create through the Service ("Your Content"). We do not claim ownership of Your Content.

6.2 License to Us

By uploading or creating content through the Service, you grant us a limited, non-exclusive, royalty-free license to store, process, and display Your Content solely for the purpose of providing the Service to you.

6.3 Your Responsibility

You are solely responsible for Your Content and the consequences of sharing it. You represent and warrant that:

• You own or have the necessary rights to all content you upload
• Your Content does not violate any third-party rights including privacy, intellectual property, or publicity rights
• Your Content does not violate any applicable laws or regulations

7. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy at pruvio.io/privacy to understand our practices.

8. Intellectual Property

The Service, including its software, design, features, and all content created by us, is owned by Dynamic Trading Ventures LLC and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Service without our express written permission.

The Pruvio name, logo, and associated marks are trademarks of Dynamic Trading Ventures LLC. You may not use our trademarks without our prior written consent.

9. Third-Party Services

The Service integrates with third-party services including Supabase, Anthropic, RevenueCat, Apple, Google, and others. Your use of these integrated services is subject to their respective terms and privacy policies. We are not responsible for the practices of third-party services.

10. Disclaimers and Limitation of Liability

10.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

10.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DYNAMIC TRADING VENTURES LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

10.3 Documentation Disclaimer

Pruvio is a documentation tool. We make no representations or warranties that documentation created through Pruvio will be legally sufficient for any particular purpose, will be admissible in any legal proceeding, or will result in any particular outcome in any dispute. The value and admissibility of documentation depends on many factors outside our control.

11. Indemnification

You agree to indemnify, defend, and hold harmless Dynamic Trading Ventures LLC and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses arising from your use of the Service, your violation of these Terms, or your violation of any rights of another person or entity.

12. Team Accounts and Organizations

If you create an organization account and invite team members, you are the account owner and are responsible for:

• Ensuring all team members comply with these Terms
• Managing team member access and permissions appropriately
• All activity that occurs under team member accounts in your organization
• Paying all subscription fees for your organization plan

13. Termination

13.1 By You

You may terminate your account at any time by contacting support@pruvio.io or using the Delete Account option in Settings. Termination does not entitle you to a refund of any prepaid subscription fees.

13.2 By Us

We may suspend or terminate your account immediately and without notice if we determine that you have violated these Terms, engaged in fraudulent or illegal activity, or pose a security risk to the Service or other users. We may also terminate the Service with 30 days notice to all users.

13.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days after termination during which you may request an export. After 30 days, your data will be permanently deleted.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Maryland, USA, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in Maryland, except that either party may seek injunctive relief in a court of competent jurisdiction.

You waive any right to participate in a class action lawsuit or class-wide arbitration against Dynamic Trading Ventures LLC.

15. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email and by posting a notice in the app at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the modified Terms.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Dynamic Trading Ventures LLC regarding your use of the Service and supersede all prior agreements and understandings.
